Terms of Service.

These Terms of Service ("Terms") govern your use of the Surely platform and services provided by Surely Ltd ("Surely", "we", "us"). By accessing or using our services, you agree to these Terms.

1. Services

Surely provides a platform for consented health record retrieval from New Zealand clinics for insurance underwriting purposes. Our services connect insurers, brokers, clinics, and applicants through a secure, privacy-compliant workflow.

2. Eligibility

You must be a registered business or organisation operating in New Zealand and authorised to access health records for insurance underwriting or related purposes. Individual consumer accounts are not available.

3. User obligations

You agree to:

• Use the platform only for lawful purposes and in accordance with applicable NZ law
• Obtain and maintain valid consents before initiating any health record request
• Keep your account credentials secure and not share them with unauthorised persons
• Notify Surely immediately of any suspected unauthorised access
• Comply with the NZ Privacy Act 2020 and Health Information Privacy Code 2020

4. Health information

Health records retrieved through Surely may only be used for the purpose stated in the consent provided by the applicant. You must not use health information for any purpose beyond the disclosed and consented purpose.

5. Intellectual property

The Surely platform, software, and documentation are the intellectual property of Surely Ltd. You are granted a limited, non-exclusive licence to use the platform for your authorised purposes. You may not copy, modify, or redistribute any part of the platform.

6. Data and privacy

Surely processes personal information in accordance with our Privacy Policy. By using the platform, you agree to the collection and processing of information as described therein.

7. Limitation of liability

To the maximum extent permitted by law, Surely is not liable for any indirect, incidental, or consequential loss arising from your use of the platform. Our total liability for any claim shall not exceed the fees paid by you in the preceding three months.

8. Termination

Either party may terminate the agreement with 30 days' written notice. Surely may terminate immediately for breach of these Terms, including any violation of consent or privacy requirements.

9. Governing law

These Terms are governed by the laws of New Zealand. Any disputes will be resolved in the courts of New Zealand.

10. Changes to these terms

We may update these Terms from time to time. We will notify registered users of material changes. Continued use of the platform after notice constitutes acceptance of the updated Terms.
